1. About these terms
These Terms of Service apply to the website at sourcingbyyork.com and to sourcing, supplier-development, sample-coordination, order-execution and related services provided under the trading name York Sourcing (“York Sourcing”, “we”, “us” or “our”). We operate from Yiwu, Zhejiang, China and provide business-to-business services.
By submitting a request, accepting a written quotation, paying a service fee or instructing us to begin work, you confirm that you are acting for a business and agree to these terms, the written scope or quotation for the project, and our Privacy Policy. If a written project scope conflicts with these general terms, the written project scope controls for that project.
2. Service scope
Depending on the agreed project, our services may include supplier research and comparison, basic supplier screening, sample purchasing and coordination, basic visible product and packaging checks, private-label coordination, order follow-up, consolidation and shipping coordination.
A free initial fit review only assesses whether the product, quantity, budget, destination and requested support fit our service. It does not include supplier names, factory quotations or detailed supplier research.
Only the tasks stated in the written quotation or project scope are included. Third-party factory audits, AQL inspections, laboratory testing, certification, legal or regulatory advice, engineering work, product design and deep customisation are excluded unless expressly quoted in writing.
3. Fees and payment
Current standard service fees are shown on the relevant country landing page or in a written quotation. Unless otherwise agreed in writing:
- service fees and estimated pass-through costs are paid before work begins;
- supplier development, sample coordination and order execution are separate paid scopes;
- product and sample costs, delivery within China, international freight, payment charges, import duty, VAT, inspection, testing and certification are charged separately;
- the bulk-order percentage is calculated only on the supplier-invoice value of the goods; and
- fees may be adjusted for unusual complexity, deep customisation, compliance work or large-volume projects, but only after we provide a revised quotation.
Work starts after the agreed payment is received. Service fees become non-refundable once work has started. Unused pass-through funds held for products, logistics or third-party costs will be returned or credited after the project account is reconciled. Bank, card, currency-conversion and payment-platform charges are not refundable.
4. Client responsibilities
You must provide complete and accurate product references, specifications, quantities, packaging requirements, destination information, target timing and any mandatory compliance requirements. You are responsible for checking and approving supplier options, samples, specifications, labels, packaging, quotations and shipping instructions before we proceed.
You are also responsible for acting as, or appointing, the importer of record; confirming import eligibility; paying duties and taxes; and ensuring that the product, packaging, labelling, intellectual property, testing, certification and sale comply with the laws of the destination market.
You confirm that you have the right to use any brands, logos, images, designs, technical files or other materials supplied to us. We may refuse or stop work where we reasonably suspect counterfeiting, intellectual-property infringement, unlawful conduct or unacceptable product risk.
5. Suppliers, samples and checks
Suppliers, factories, laboratories, inspection companies, payment providers and carriers are independent third parties. Unless expressly stated in writing, York Sourcing is not the manufacturer, testing laboratory, certification body, customs broker, insurer or carrier.
Supplier information and quotations are based on information available at the time and may change because of materials, quantity, exchange rates, production capacity, seasonality or specification changes. A sample does not guarantee that every unit in a bulk order will be identical.
Our standard checks are basic visible checks of the agreed items, such as quantity, appearance, key dimensions, packaging and basic function where practical. They are not a substitute for a third-party AQL inspection, laboratory test, certification or technical acceptance process. Where higher assurance is required, we can coordinate an independent provider at additional cost.
6. Orders, changes and cancellation
No supplier purchase is made until you approve the relevant product, quantity and cost and provide sufficient cleared funds. Once a supplier order, sample order, customisation or shipment has been placed, changes and cancellations depend on the relevant third party’s agreement and may involve non-refundable costs.
If you change the product brief, quantity, material, packaging, destination or timing after work begins, we may revise the fee, timeline and scope. If required information or payment is not provided within 30 days after our request, we may pause or close the project.
7. Shipping, customs and delivery
Freight prices, transit times and delivery dates are estimates unless a carrier expressly guarantees them. Delays may result from production, inspection, carrier capacity, customs, weather, public holidays, force majeure or events outside our reasonable control.
Shipping terms, insurance, customs responsibility and transfer of risk will be confirmed for the relevant shipment. You must inspect delivered goods promptly and notify us in writing of any visible shortage or damage, with photographs and supporting documents, so that we can assist with a supplier or carrier claim. Any recovery is subject to the responsible third party’s terms and decision.
8. Restricted projects
We do not accept counterfeit goods, unauthorised vehicle logos, safety-critical vehicle parts, requests intended to avoid legal or compliance requirements, or other unlawful products. We may also decline high-risk fitment, complex mechanical, battery, wireless or active-safety products where the available information, testing plan or risk control is insufficient.
9. Intellectual property and confidentiality
Each party retains ownership of its existing intellectual property. You may use reports, comparisons, photos and project materials prepared for you for your internal purchasing and business decision-making. You may not resell or publicly distribute our supplier research as a standalone database or service without written permission.
We will use reasonable care with non-public commercial information you provide. Confidentiality does not apply to information that is already public, lawfully received from another source, independently developed, or required to be disclosed by law.
10. Website and third-party services
The website and checkout are hosted by Shopify. Payment, messaging, analytics and other functions may be provided by third parties. Their own terms and privacy policies also apply when you use those services. Website information is provided for general guidance and may be updated without notice.
11. Liability
Nothing in these terms excludes liability that cannot legally be excluded. To the fullest extent permitted by applicable law, York Sourcing is not liable for indirect, incidental, special or consequential loss, lost profit, lost sales, loss of opportunity or loss caused by an independent supplier, factory, carrier, customs authority or other third party.
To the fullest extent permitted by applicable law, our total liability arising from a project will not exceed the service fees actually paid to York Sourcing for the specific paid scope giving rise to the claim. This limitation does not apply to fraud, wilful misconduct or any liability that applicable law does not allow us to limit.
12. Force majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, epidemic restrictions, war, labour disputes, government action, customs action, port disruption, carrier disruption, power or network failure, or material shortages. The affected party will use reasonable efforts to reduce the impact.
13. Governing law and disputes
Unless mandatory law requires otherwise, these terms and the related service agreement are governed by the laws of the People’s Republic of China. The parties will first try in good faith to resolve a dispute through written discussion. If no resolution is reached, the dispute may be submitted to a court with competent jurisdiction in Yiwu, Zhejiang, China.
14. Changes to these terms
We may update these terms by publishing a revised version on this page. The version accepted when a paid project begins will continue to apply to that project unless the parties agree otherwise in writing.
